Nonprofit

Nonprofits face special business challenges. In addition to needing competent counsel and advice in areas ranging from contracts and leases to employee relations, they encounter unique dynamics when engaging with volunteers and conducting fundraising. Murphy Pearson’s Nonprofit industry group attorneys bring skills from our various practice disciplines, including business, real estate, employment and tax, so “not-for-profit” clients can run like sophisticated businesses.

Firm attorneys have represented clients in areas including nonprofit entity formation and board governance, as well as various ongoing business operations, such as tax matters, business planning and real estate sale, acquisition, and leasing. We’ve represented educational entities in state-led investigations. Our attorneys have also represented homeowners’ associations and stock cooperatives in complex matters involving the management of common interest developments.

We have defended individual officers and directors and boards of civic, charitable and homeowners’ associations accused of breaches to their fiduciary duties, errors and omissions, and other forms of professional liability associated with their roles. In addition, we represent nonprofits in tax controversies before the Internal Revenue Service and other state and local taxing authorities, as well as advising regarding the tax and legal implications related to estate planning and gifting.
